This Service Agreement is entered into between The Kemis Group / KemisDigital (“KemisDigital”) and the undersigned client (“Client”).
The Client has selected the following KemisDigital package:

The specific pages, features and functionality included in the project will be confirmed during the project discovery session and documented before development begins.
Before development begins, KemisDigital and the Client will conduct a brief discovery and brainstorming session.
During this session, we will establish:
The Client agrees to provide accurate information and available content reasonably required to complete the project.
KemisDigital will develop the agreed website or platform without requiring the setup fee in advance.
The purpose of this model is to allow the Client to see and review the completed digital experience before paying the setup fee.
Development is performed specifically for the Client based on the agreed project scope. There is no setup fee until the Client approves the build for launch.
Once the initial build is presented, the Client may request reasonable revisions necessary to bring the project in line with the design direction and functionality agreed upon during discovery.
KemisDigital will work with the Client in good faith to complete those revisions.
Requests that materially expand the original project scope, introduce new functionality, or change the agreed direction may require an additional quotation. This agreement does not provide unlimited revisions.
Once the Client confirms that the website or platform is approved for launch, the agreed setup fee becomes due.
The project will not be transferred to the Client’s production domain or made publicly available as the final production platform until the applicable setup fee has been paid, unless otherwise agreed in writing.
If, after reasonable revisions, the Client decides not to proceed with the project, the Client will not be required to pay the setup fee.
However:
Once the project is approved and launched, the Client will begin paying the agreed monthly platform fee.

Additional development or services outside the package may be quoted separately.
The Client is responsible for third-party expenses not specifically included in the package, including where applicable:
KemisDigital will disclose known third-party requirements before implementation whenever reasonably possible.
The Client confirms that it has permission to use any logos, photographs, written content, trademarks or other materials supplied to KemisDigital.
The Client remains responsible for the accuracy of its business information, prices, policies and published content.
Until the agreed setup fee is paid, all project design, development and software remain the property of KemisDigital.
Upon payment of the setup fee, the Client receives the right to use the completed website or platform for its business for as long as the applicable platform agreement remains active.
KemisDigital retains ownership of its underlying frameworks, reusable components, software libraries, platform technology and development tools.
Unless otherwise agreed in writing, KemisDigital may display the completed project in its portfolio, proposals, presentations and marketing materials as an example of its work.
By signing below, both parties confirm their understanding of the project arrangement and authorize KemisDigital to begin the discovery and development process.
